Small and Medium-sized Enterprises (SMEs) and startups in Vietnam are particularly proactive in adopting NDAs to protect their business information and trade secrets. 58% of businesses are planning to increase their expenditure on data security, highlighting the growing importance of NDAs in the Vietnamese business landscape.
Despite the term "NDA" not being explicitly defined in Vietnamese legislation, these agreements are recognized as civil contracts under the Civil Code 2015 and are supported by the Law on Intellectual Property. Remedies for breaches include monetary compensation, which can cover both actual damages and pre-agreed liquidated damages. This legal framework ensures that NDAs are an effective tool for protecting intellectual property and sensitive business information.
